By accessing or using the Osmium platform (the "Platform"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not access or use the Platform.

These Terms apply to all visitors, vendors, buyers, and any other users of the Platform. Additional terms may apply to specific features or services and will be presented at the point of use.

"Platform" refers to the Osmium marketplace, including all associated websites, interfaces, APIs, labs, and services operated by Osmium Labs.

"Vendor" means any individual or entity that submits AI capabilities for listing on the Platform.

"Buyer" means any individual or entity that purchases or deploys capabilities listed on the Platform.

"Capability" means an AI system, model, or component submitted for listing, testing, or sale on the Platform.

"Labs" means the testing environments (Helios, Astatine, Nebula) that evaluate submitted capabilities.

"Aegis" means the public, immutable record of lab evaluation results maintained by the Platform.

You must be at least 18 years of age (or the minimum age of legal majority in your jurisdiction) to use the Platform.

By using the Platform, you represent that you have the legal capacity to enter into a binding agreement and that all information you provide is accurate and complete.

Certain features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify Osmium Labs immediately of any unauthorized use of your account.

Osmium Labs reserves the right to suspend or terminate accounts that violate these Terms.

Vendors who submit capabilities warrant that they have the right to list and sell those capabilities and that the capabilities do not infringe on the intellectual property rights of any third party.

All submitted capabilities are subject to lab testing. Vendors acknowledge that lab results are permanent and publicly recorded in Aegis. Vendors cannot edit, hide, or delete Aegis entries.

Vendors are solely responsible for the accuracy of descriptions, pricing, and metadata associated with their capabilities.

Buyers are responsible for reviewing Aegis records and capability details before making a purchase.

Purchases are final unless otherwise stated at the point of sale. Refund policies, where applicable, will be presented during checkout.

Buyers must not use purchased capabilities in a manner that violates applicable law or these Terms.

All prices are displayed in the currency indicated at the point of sale. Osmium Labs processes payments through third-party payment processors.

Osmium Labs reserves the right to modify pricing at any time. Existing transactions are not affected by price changes.

Fees, commissions, and payout terms for vendors are governed by the Vendor Agreement presented during onboarding.

Capabilities submitted for testing are evaluated by one or more of the Platform's labs (Helios, Astatine, Nebula). Testing results are permanent and cannot be removed, modified, or hidden by any party.

Osmium Labs does not guarantee the accuracy, completeness, or timeliness of lab results. Results are provided "as is" for informational purposes.

Aegis records are derived from lab results and are publicly accessible. Vendors and buyers acknowledge that these records are intended to be transparent and immutable.

All content on the Platform — including text, graphics, logos, trademarks, and software — is the property of Osmium Labs or its licensors and is protected by applicable intellectual property laws.

Vendors retain ownership of their submitted capabilities unless a separate agreement states otherwise.

By submitting a capability, vendors grant Osmium Labs a non-exclusive, worldwide license to test, evaluate, and display the capability and its associated lab results for the purpose of operating the Platform.

Users must not: (a) attempt to circumvent lab testing or Aegis records; (b) submit capabilities designed to deceive, harm, or exploit; (c) interfere with the operation of the Platform or its labs; (d) use automated tools to access the Platform in violation of these Terms; (e) misrepresent identity or affiliation.

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Osmium Labs does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

Lab results and Aegis records are provided for informational purposes. Osmium Labs does not endorse, guarantee, or assume responsibility for any capability listed on the Platform.

To the maximum extent permitted by law, Osmium Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the Platform.

Osmium Labs' total aggregate liability for any claim arising out of these Terms or use of the Platform shall not exceed the greater of (a) the amount you paid to Osmium Labs in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

You agree to indemnify and hold harmless Osmium Labs, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform or violation of these Terms.

Osmium Labs reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or by email. Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

These Terms are governed by and construed in accordance with the laws of [JURISDICTION TO BE DETERMINED]. Any disputes arising under these Terms shall be resolved in the courts of [VENUE TO BE DETERMINED].

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
